Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AgendaForge platform and related services (the "Service") provided by AgendaForge ("AgendaForge," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and Accounts
You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
2. Use of the Service
You agree not to:
- Use the Service in violation of any applicable law or regulation.
- Upload or transmit malicious code or attempt to disrupt the Service.
- Attempt to gain unauthorized access to the Service, other accounts, or related systems.
- Reverse engineer or copy any part of the Service except as permitted by law.
- Use the Service to send unsolicited or unlawful communications.
- Infringe the intellectual property or privacy rights of others.
3. Your Content
You retain all rights to the content you submit to the Service ("Your Content"). You grant AgendaForge a limited license to host, process, and display Your Content solely to operate and provide the Service to you. You are responsible for Your Content and for ensuring you have the rights necessary to upload and use it.
4. Third-Party Integrations
The Service may integrate with third-party services, such as Google Sheets, that you choose to connect. Your use of those services is governed by their own terms and privacy policies. AgendaForge's access to and use of data from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements. You can disconnect any integration at any time. 5. Plans, Fees, and Payment
The Service is licensed and priced per Event. The current price for each plan is published at /pricing. The fees that apply to you are those published on the pricing page, or otherwise agreed in writing, at the time of your purchase.
An "Event" means a single edition of a single show: one agenda, running on one continuous set of dates, at one venue or city (or one virtual or hybrid setting), managed in one AgendaForge event workspace. Each additional edition — a different city, a different date range, or a separate agenda — is a separate Event, even where editions share a name or brand (for example, a conference series that runs editions in three cities in one year is three Events). Co-located tracks, stages, and workshop or side-event days that share an edition's dates, venue, and registration are part of that single Event. A recurring series of standalone meetups or webinars is not a single Event; each occurrence with its own dates and agenda is its own Event. An Event workspace covers up to 12 months of preparation before the event and 30 days of post-event wrap-up.
Founding-partner rates are offered to early customers in exchange for a case study and an honest public review. Those rates remain locked for the partner's future Events for as long as the partner continues running Events on the Service. If our published pricing changes for new customers, the change will be reflected on the pricing page.
Fees are invoiced per Event and are due as stated on the invoice. Except where required by law or agreed in writing, fees are non-refundable once the Event workspace has been activated. Prices exclude applicable taxes, which are your responsibility.
6. Fair Use
Certain features, such as email sending and AI assistance, include per-Event fair-use allowances described at /pricing. Exceeding an allowance never disables the Service — additional AI usage draws on prepaid credit packs. We may intervene only where usage indicates abuse, such as splitting one Event across multiple workspaces to circumvent per-Event pricing, reselling access, or sending bulk unsolicited email (which is already prohibited under Use of the Service).
7. Early Access and Beta Features
Features labeled "early access," "beta," or "in the works" are provided as-is, may change or be withdrawn at any time, and may carry separate published pricing before they reach general availability.
8. Intellectual Property
The Service, including its software, design, and trademarks, is owned by AgendaForge and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights in and to the Service.
9. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we are required to do so by law. Upon termination, your right to use the Service ceases, and we may delete Your Content in accordance with our data retention practices.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
11. Limitation of Liability
To the maximum extent permitted by law, AgendaForge will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us for the Service in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless AgendaForge and its affiliates from any claims, damages, liabilities, and expenses arising from your use of the Service, Your Content, or your violation of these Terms.
13. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of the jurisdiction in which AgendaForge is established, without regard to its conflict-of-laws principles.
